1. Membership Eligibility and Scope

Indoorsman GC Inc. (“Indoorsman GC” or “we”) operates a private, membership-based indoor sports facility in Nevada. The facility may include, now or in the future, one or more activity areas such as golf simulators, putting greens, fitness or training zones, or other indoor recreation areas (collectively, the “Facility”). “Facility Activities” means all sports, training, exercise, and recreational activities made available by Indoorsman GC at any of its facilities, whether currently offered or added in the future.

These Terms & Conditions apply to all areas and activities available within the Facility. Memberships are currently available only for our Nevada location and services. By purchasing a membership or using our facility, you (“Member”) agree to these Terms & Conditions. Members must be at least 18 years old (age of majority) to join. Minors under 18 are allowed on premises only if accompanied and supervised by an adult Member at all times. Membership is personal and non-transferable – only the registered Member (and their authorized guest, as described below) may access the facility.

Indoorsman GC Inc. reserves the right, in its sole discretion, to modify, limit, suspend, or discontinue any membership type, plan, or benefit at any time, including restricting access or the number of memberships available, as necessary for business, operational, or safety reasons.

2. Facility Access & Security

24/7 Access: Active Members enjoy 24/7 unstaffed access to our indoor golf facility via a secure entry system. Upon membership activation, you will receive a unique PIN code (or similar access credential) to enter. This code will unlock the door up to 15 minutes before your reserved tee time to allow setup and will enable access during your booked session. You must have a valid booking to be in the facility; unscheduled use outside your reservation time is not permitted.

No Sharing of Access: Your PIN code (or keycard) is personal to you. Sharing or lending your access credentials to any non-member is strictly prohibited and may result in immediate revocation of membership without a refund. Members must not allow unauthorized persons (“tailgaters”) to enter the facility with them. Indoorsman GC monitors entry logs and video footage for security – any unauthorized access or code sharing is grounds for termination.

Security Measures: Our facility is monitored by 24/7 video surveillance cameras for the safety of members and protection of property. By accessing the premises, you acknowledge and consent to being recorded on security cameras. Do not tamper with or obstruct any surveillance equipment; doing so will result in membership termination and potential liability for damages. While we take precautions for security, Indoorsman GC is not responsible for lost or stolen personal items – please secure your belongings.

3. Guests and Minor Policy

Guest Privilege: Members may bring up to three (3) guests per visit unless otherwise permitted by Indoorsman GC. Guests must accompany the Member at all times and may not remain in the Facility after the Member departs. The Member is fully responsible for their guest’s conduct, safety, and compliance with these Terms and all posted rules.

Guest/Participant Agreement: By entering the Facility or participating in any Facility Activities, each guest agrees to follow all posted safety rules and acknowledges the Assumption of Risk & Liability Waiver in Section 5 to the fullest extent permitted by law. The Member agrees to ensure their guest is made aware of and complies with these Terms before participating.

Minors: Anyone under 18 must be accompanied and actively supervised by a parent, legal guardian, or responsible adult Member at all times. The supervising adult assumes full responsibility for the minor’s conduct and safety, including ensuring the minor follows all posted safety rules. For safety reasons, minors who are not actively participating must remain outside simulator bays and behind designated safety lines. Indoorsman GC may refuse entry to or require removal of any minor if, in Indoorsman GC’s judgment, safe supervision or safe conduct is not being maintained.

Indemnification for Guests/Minors: To the fullest extent permitted by law, the Member agrees to indemnify and hold harmless Indoorsman GC from and against any claims, demands, damages, losses, or lawsuits (including attorneys’ fees and costs) arising out of or relating to the acts or omissions of the Member’s guest(s) or any minor under the Member’s supervision including any claim asserted by or on behalf of a guest or minor.

4. Member Conduct and Facility Rules

Members (and their guests) must adhere to the following rules of conduct to ensure a safe, enjoyable environment. Failure to follow these rules may result in immediate ejection from the facility and/or cancellation of your session without refund:

• Follow Posted Rules: Obey all posted signs, safety guidelines, and instructions in the facility, as well as any directions provided by Indoorsman GC (if staff are present). This includes any on-screen safety prompts or written simulator operating instructions.
• Use Equipment Safely: Use the golf simulators and equipment in a safe manner. Only hit golf balls toward the simulator screen or target – no swinging of clubs outside of designated bay areas. Only one person may be in a simulator hitting area at a time. See ‘Simulator Bay Safety (Ricochet/Deflection Risk)’ below for required positioning and safety-line rules. Always check your surroundings before swinging to ensure no person or obstacle is within your swing range.
• Simulator Bay Safety (Ricochet/Deflection Risk): Only one person may be in a simulator hitting area at a time. All other persons (including guests and minors) must remain behind the golfer and behind any posted/marked safety line while a ball is in play. No one may stand forward of the golfer, near the screen, near the enclosure frame/rails, or within the hitting area while any person is swinging or hitting. Golf balls can ricochet or deflect off the simulator screen, enclosure components (including frames and rails), flooring, mats, walls, or other surfaces and may strike participants in the face/eyes/body. Minors may only be in a simulator bay while actively participating and under close adult supervision; otherwise, minors must remain outside the bay and behind the safety line. Compliance with this rule and all posted safety instructions is a condition of entry and use of the Facility, and unsafe behavior may result in immediate removal and/or membership termination.
• No Alcohol or Drugs: Alcohol is strictly prohibited on the premises. Members and guests may not bring, consume, or be under the influence of alcohol or any illegal drugs/substances at the facility. We do not sell or serve alcohol, and intoxicated persons will be refused entry or asked to leave. No smoking or vaping is allowed inside the facility.
• Food and Beverages: We do not currently offer food/beverage service (aside from potential vending machines). Members may bring their own water, soft drinks, or light snacks, but all food and non-alcoholic drinks must be kept in the lounge or seating areas, away from simulators and electronics (to prevent spills). Please clean up after yourself. No food or open drinks are allowed on the simulator platforms or near the equipment.
• Attire and Equipment: Wear appropriate attire and clean athletic shoes (no metal spikes or any footwear that could damage the mats or floor). If coming from outdoors, ensure your shoes are free of excessive dirt/mud to protect the turf. Only use clubs and balls that are in good condition (no worn or cut golf balls that could damage the screens). We may provide balls/tees – do not use range balls with markings that can leave scuffs on screens, and do not hit any item other than a golf ball in the simulators. You may bring your own clubs; however, Indoorsman GC is not responsible for any damage to your personal equipment during use.
• Respect Others: Maintain respectful behavior towards other members and neighbors. Keep noise at a reasonable level, use appropriate language, and do not engage in any harassing, aggressive, or unsafe behavior. Our facility is in a shared building/community – please depart quietly during late hours.
• Facility Care: Treat the facility and equipment with care. Do not attempt to move or alter the simulator hardware, screens, projectors, or any wiring. If you encounter any technical problems, contact us – do not try to fix equipment yourself. Report any damage or malfunctions to Indoorsman GC immediately. Members are financially responsible for any damage to the facility or equipment caused by their (or their guests’) careless or improper use. This includes damage from hitting golf balls into walls, ceilings, lights, or using clubs in an unsafe manner. Indoorsman GC reserves the right to charge members for repairs or cleaning fees if facility rules are not followed.
• No Unlawful Use: The facility may only be used for its intended recreational purpose. No commercial activities, coaching (unless by our approved instructors), or events may be conducted without permission. Do not use the space for any illegal or dangerous activities. Firearms and weapons are not allowed on the property.

Members must use all Facility areas — including any golf simulators, courts, fitness equipment, or other amenities — in accordance with posted rules and safety instructions specific to each activity area.

Indoorsman GC may update or add to these rules as needed for safety and operations. Members will be informed of any new or changed rules, which will become binding. Your cooperation in following all rules ensures a safer experience for everyone.

5. Assumption of Risk & Liability Waiver

By using Indoorsman GC’s facility, you acknowledge that golf, indoor sports, and other physical or recreational activities involve inherent risks and hazards, whether or not specifically described here. This includes, without limitation, risks associated with the use of sporting equipment, courts, nets, balls, and all related activities conducted within the Facility. You voluntarily assume full responsibility for all risks of injury, illness, damage, or loss that you may sustain while on the premises or using our equipment. This includes (but is not limited to) the risk of being struck by a golf club or ball, tripping or falling, muscle strain or other sports injuries, the risk of golf balls ricocheting or deflecting off the simulator screen, enclosure frame, rails, netting, mats, flooring, or other surfaces and striking a participant, and any other incidents that may occur in an athletic environment. You understand these risks can include serious injury, permanent disability, or even death, as well as property damage, and you choose to participate at your own risk. You acknowledge and assume both known and unknown risks to the fullest extent permitted by law.

Release of Liability: To the fullest extent permitted by law, you hereby release and hold harmless Indoorsman GC Inc., its owners, officers, employees, agents, and affiliates from any and all liability or claims for injuries, damages, or losses of any kind arising out of or relating to your use of the facility – including claims resulting from the ordinary negligence of Indoorsman GC. In other words, you will not hold Indoorsman GC responsible for any harm or loss you experience in the facility, whether caused by your own actions, the actions of other participants, or any ordinary negligence on the part of Indoorsman GC. Nothing in these Terms is intended to waive or release any claim that cannot be waived under applicable law, including claims based on gross negligence, recklessness, or intentional misconduct.

Indemnification: You also agree to indemnify and hold Indoorsman GC harmless from any claims, demands, or lawsuits (including attorneys’ fees and costs) brought by a third party arising out of your own conduct or that of your guests while at the facility. If you or your guest injures someone else or damages someone else’s property, or if a minor under your supervision causes any injury or damage, you will be responsible for all resulting costs, damages, and legal fees. Likewise, if any guest you bring fails to sign a required waiver but then pursues a claim against Indoorsman GC, you agree to indemnify Indoorsman GC for all liability and costs incurred as a result. This indemnification obligation also applies to claims asserted by or on behalf of your guest(s) or any minor under your supervision, to the fullest extent permitted by law.

Medical Treatment & Personal Property: You acknowledge that Indoorsman GC does not provide medical insurance or medical care on site. You are solely responsible for any medical expenses or emergency care that may be required due to any injury you suffer at our facility. We strongly advise you to have your own health insurance. Similarly, you are responsible for your personal belongings; Indoorsman GC is not liable for loss or damage to any personal equipment or property brought to the facility. You agree that you will be personally liable for any damage to the building, simulators, or equipment caused by your or your guest’s negligent or willful actions, and you will reimburse Indoorsman GC for the cost of repairs or replacement.

Scope and Binding Effect: You agree that this liability waiver and release binds you and your heirs, executors, successors, and assigns. For example, your family or estate will be prevented from bringing a claim if you are injured or killed while using the facility – you are waiving your right and theirs to sue Indoorsman GC for covered claims. If any portion of this Section (Assumption of Risk & Liability Waiver) or these Terms is found to be invalid or unenforceable, the rest of the agreement shall remain in full force and effect.

6. Membership Fees, Billing, and Cancellations

Billing Cycle: Memberships are offered on a subscription basis (e.g. monthly). Your membership term and billing frequency will be specified at sign-up (default is month-to-month). Memberships auto-renew each billing period (e.g. each month) until cancelled. There are no long-term contracts; memberships are effectively month-to-month and can be cancelled at the end of any period. By joining, you authorize Indoorsman GC to charge your provided payment method for the recurring membership fees (plus applicable taxes) each billing cycle.

Cancellation by Member: You may cancel your membership at any time by providing notice to Indoorsman GC (e.g. via email or account settings). We request at least 30 days’ advance written notice of cancellation. This allows us to process your cancellation and prevent further auto-billing. If you cancel, your membership will remain active through the end of the current paid period, and you will not be billed for subsequent periods. No pro-rated refunds will be given for the remainder of a billing cycle once payment has been charged, except at our discretion or if required by law. In certain extenuating circumstances (e.g. injury, relocation), Indoorsman GC may consider a partial refund or membership pause, but this is not guaranteed and is evaluated case-by-case. To request a pause or refund, you must contact us and provide any supporting documentation; any approval of credits/refunds is at Indoorsman GC’s sole discretion.

Changes to Membership or Fees: Indoorsman GC reserves the right to modify membership plans, fees, or billing practices. For example, we may adjust monthly rates or add new membership tiers. If any material change affects your membership, we will provide advance notice (e.g. by email or posted on your account) so you can review the changes. If you do not agree to a fee increase or significant change, you may cancel before the change takes effect. Continuing the membership after the effective date of changes will constitute acceptance of the new terms.

Refunds: Except as explicitly outlined above, all membership sales are final. Enrollment fees, if any, are non-refundable once paid. Session bookings (reservations of simulator time) are also generally non-refundable if you fail to show up or cancel late, in accordance with our booking cancellation policy (see our separate reservation terms if applicable). We understand life events happen, and we will do our best to accommodate rescheduling requests, but we cannot guarantee refunds for unused time or last-minute cancellations.

7. Suspension or Termination of Membership

Indoorsman GC expects all members to honor these Terms and act in good faith. We reserve the right to suspend or terminate your membership at any time for any violation of these Terms & Conditions or for any conduct that we, in our sole judgment, deem harmful to others, the facility, or the company’s interests. This includes but is not limited to: providing access to unauthorized persons, vandalism or theft, dangerous behavior, harassment of others, willful violation of safety rules, or non-payment of fees. In the event of a termination for cause (misconduct or rule violation), no refund will be provided for any remaining membership period – membership will be revoked immediately. In minor cases of rule violations, we may opt to issue a warning or temporarily suspend access while we investigate, but serious or repeat offenses will result in cancellation of membership.

Indoorsman GC also reserves the right to terminate memberships (or the membership program as a whole) for convenience (for example, if we decide to discontinue the 24/7 club or close the facility). In such a case that termination is not due to any fault of the member, we will refund any pre-paid amounts for periods after the termination date. Indoorsman GC shall have no further liability beyond refunding unused membership fees in this scenario.

Upon termination or expiration of membership, your access code will be deactivated and you must cease using the facility. You remain responsible for any outstanding fees or charges owed up to the date of termination. Sections relating to liability waiver, indemnification, and other provisions intended to survive will remain enforceable even after membership ends.

8. Governing Law and Dispute Resolution

These Terms & Conditions and any disputes arising from membership or use of Indoorsman GC’s services are governed by the laws of the State of Nevada, without regard to its conflict of laws principles. By agreeing to these terms, you consent to the exclusive jurisdiction of the state and federal courts located in Nevada for the resolution of any disputes. You agree to pursue any claim or legal action on an individual basis and not as part of any class or representative proceeding. (Note: If you are a Nevada resident, you retain any rights provided to you by Nevada consumer protection laws; nothing in these terms is intended to waive rights that cannot be waived under state law.)

9. Updates to Terms

Indoorsman GC may modify or update these Terms & Conditions from time to time. If we make material changes, we will notify members via email or via a notice on our website or member portal. Updated terms will be posted with a new effective date. It is your responsibility to review any updates – continued use of your membership or our facility after changes are posted constitutes acceptance of the new Terms. We encourage you to check for updates periodically. No oral representations by staff or management can modify these written Terms; any changes or waivers must be in writing.

10. Acceptance of Terms

By enrolling in an Indoorsman GC membership, booking a session, or entering our facility, you acknowledge that you have read, understood, and agree to all of the above Terms & Conditions, including the liability waiver and release of liability. This acceptance applies to you and any guest(s) you bring, and you agree you have reviewed these Terms with your guest(s) before they participate. If you have any questions or concerns about these Terms, please contact us before using the facility.
